DAY ONE SIGNALS, INC. TERMS OF SERVICE

In order to use Day One Signals, Inc.'s ("Day One Signals") simulation-based career exploration platform, including the Day One Me professional twin and all related tools and features (collectively, the "Platform"), you must agree to these Terms of Service ("Terms"). By creating an account or using the Platform, you agree that you have read, understand, and agree to these Terms. If you do not agree to these Terms or the Privacy Policy, do not access or use the Platform or any Day One Signals services, but please get in touch with us so we can try to help.

Acceptance of the Terms

These Terms of Service are entered into between you and Day One Signals, and they, along with Day One Signals' Privacy Policy that you must also accept, govern your use of the Platform. These Terms will remain in full force and effect while you use the Platform.

Age Requirement

The Platform is intended only for access and use by individuals at least eighteen (18) years old. If you are not at least eighteen (18) years old, you are prohibited from both the access and usage of the Platform.

Accessing the Platform

To use the Platform and its resources, you must provide certain registration details to create an account. It is a condition of your use of the Platform that all the information you provide on the Platform is correct, current, and complete. You agree that all information you provide to or on the Platform is governed by the Platform Privacy Policy.

Description of the Platform

The Platform provides a simulation-based career exploration experience. It is not a job board, recruiting service, staffing agency, or employment marketplace. Day One Signals does not match users with employers, does not guarantee employment outcomes, and does not evaluate, rank, or score users.

The Platform operates in two phases:

Phase 1 — Simulation (Arcade). You enter AI-powered work simulations tied to specific companies and roles. During these simulations, you brainstorm with synthetic coworkers, respond to escalating stakeholder pressure, and navigate counterforce dynamics. Each completed simulation produces a "future" — a provisional version of you in that role at that company. You may generate multiple futures per company. When you select a future, it becomes your "Day One Plan."

Phase 2 — Deployment. Your Day One Plan is used to train your "Day One Me" — an AI-powered professional twin that represents your demonstrated thinking and approach. Your Day One Me can be deployed to interact with hiring managers and other third parties on your behalf, including through a conversational chatbot, outreach emails, and other generated materials.

Use of the Platform

As a user of the Platform, you can use the Services in the following ways:

A. Create and Manage Your Profile

You can create a Platform profile to include information about you, your employment history, your skills and qualifications, and other information. You are solely responsible for any information you post on your profile, and warrant that anything you post on your profile is accurate and you have all necessary rights to post it. Day One Signals reserves the right to remove or revise any information posted on your profile that it believes violates these Terms or is inappropriate, offensive, hateful, fraudulent, or misleading, at Day One Signals' sole discretion.

B. Participate in Work Simulations

You may enter work simulations tied to specific companies and roles available on the Platform. During simulations, you will interact with AI-generated synthetic coworkers, stakeholders, and counterforce participants. Your responses, decisions, and reasoning during simulations constitute your Simulation Content. Each completed simulation may produce a "future" that you can review, select, or discard.

C. Generate and Manage Day One Plans

When you select a future, it becomes your Day One Plan. Your Day One Plan synthesizes the work you demonstrated during simulation into a structured artifact that can be used to train your Day One Me. You control which futures become Day One Plans and which Day One Plan trains your Day One Me.

D. Deploy Your Day One Me

Once trained, your Day One Me can be deployed to act on your behalf. Deployment capabilities include a conversational chatbot that hiring managers can interact with, outreach emails drafted from your demonstrated work, and other generated materials. You control when to deploy and when to shut down your Day One Me. You may review all interactions after the fact.

E. Review Hiring Manager Interactions

When hiring managers or other third parties interact with your Day One Me, those conversations are recorded. Before you review them, incoming messages are processed through a toxicity protection layer that filters hostile, demeaning, or malicious language while preserving the substantive content. This protection layer is not a coaching or optimization feature — it is a protection feature designed to shield you from language you should not have to absorb.

Work Simulations and Artifacts

Work simulations on the Platform are designed to be realistic, ambiguous, and open-ended. They are not tests, assessments, or evaluations. There are no correct answers, scores, or pass/fail outcomes. Simulations are fictional scenarios designed for exploration and do not represent actual job openings, company strategies, or business conditions. The inclusion of a company or role in a simulation does not imply endorsement, partnership, or affiliation with that company.

Content you create during simulations — including written responses, decision rationales, tradeoff explanations, and solution pitches (collectively, "Simulation Content") — is used to power your Day One Me and generate artifacts such as Day One Plans. You retain ownership of your Simulation Content, subject to the license granted below.

Use of Company Names, Logos, and Publicly Available Information

Work simulations on the Platform may reference real companies, roles, products, and publicly available information about those companies for the purpose of creating realistic, grounded work scenarios. These references are made for educational and exploratory purposes only. The companies referenced in simulations have not endorsed, sponsored, authorized, or affiliated themselves with Day One Signals or the Platform unless explicitly stated otherwise. Simulation content does not represent actual company strategies, internal priorities, job openings, or business conditions. Day One Signals derives simulation context from publicly available sources such as company websites, press releases, product documentation, and industry reporting. No proprietary or confidential company information is used.

Day One Me Deployment

When you deploy your Day One Me:

It interacts with hiring managers and other third parties based solely on what you demonstrated during simulations. It cannot fabricate skills, experiences, or approaches you did not show. This is by design — it ensures transparency and prevents manipulation.
You are not present during chatbot conversations. You may review all interactions after the fact.
You may shut down your Day One Me at any time.
You receive feedback derived from interactions, processed through a protection layer that filters hostile or demeaning language before you review it.
You do not control the specific words your Day One Me uses in conversation. This is intentional — it validates to the hiring manager that the content represents genuine demonstrated capability, not rehearsed or scripted talking points.
You control which Day One Plan trains your Day One Me, when to deploy, and when to shut down.

Limitation on Day One Me Authority

Your Day One Me is an AI-powered representation of your demonstrated professional thinking. It is not a legal agent and cannot act on your behalf in any legally binding capacity. Specifically, your Day One Me cannot and does not: accept or decline job offers or interviews; agree to terms, conditions, compensation, or employment arrangements; make commitments, representations, or warranties on your behalf; bind you to any obligation, contract, or agreement; or provide legal, financial, or professional advice. Any hiring manager or third party interacting with your Day One Me is informed that it is an AI system and that no interaction with it constitutes an agreement, commitment, or binding communication from you. You remain solely responsible for all employment-related decisions and communications.

Activation Network Effects

When you activate a Day One Plan, it becomes part of an interconnected context network that includes all of your other active Day One Plans. This means that activating a new plan may retroactively influence how your other active Day One Me instances respond, as activated plans share context with one another. This is by design — it allows your Day One Me to draw on the full breadth of your demonstrated work across companies and roles. You will be informed of this before activating any Day One Plan, and you may deactivate a plan at any time to remove it from the shared context network.

Energy and Subscription

The Platform uses an "energy" system to manage deployment actions. Different actions (simulations, chatbot sessions, outreach emails, activation of Day One Plans) consume different amounts of energy based on complexity. Energy is the user-facing abstraction of compute cost. The underlying model selection, token counts, and infrastructure details are not exposed to you.

Day One Signals reserves the right to modify its pricing, subscription tiers, energy allocation, and energy costs at any time. Your use of the Platform after notification of any changes constitutes your agreement to the updated terms.

All users receive a limited number of full-quality trial actions at no cost. Trial artifacts are indistinguishable from paid artifacts — there is no feature degradation, watermarking, or reduced simulation quality for trial users. A hiring manager reviewing a trial user's artifacts will see no difference from a paid user's artifacts.

User Content License

The Platform may contain interactive features that allow you to post, submit, publish, display, or transmit content or materials (collectively, "User Contributions") on or through the Platform. For avoidance of doubt, your "User Contributions" include Simulation Content, Day One Plans, profile information, and any other content you create on the Platform.

Any User Contribution you post to the Platform will be considered non-confidential and non-proprietary. By posting any User Contribution on the Platform, you grant Day One Signals and its affiliates and service providers, and each of their respective licensees, successors, and assigns, a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to sublicense, use, reproduce, copy, modify, create derivative works of, publicly perform, publicly display, distribute, and otherwise disclose to third parties and/or exploit in any manner any such User Contribution for any purpose, including but not limited to operating, improving, and providing the Platform and its features.

However, notwithstanding the foregoing, any personally identifying information ("PII") that you submit to the Platform will only be used or shared as set forth in Day One Signals' Privacy Policy, even if such PII is in a User Contribution.

You represent and warrant that:

You own or control all rights in and to your User Contributions and have the right to grant the license granted above.
All of your User Contributions do and will comply with these Terms.
Neither the User Contributions nor your submission, uploading, publishing, or otherwise making available of such User Contributions, nor Day One Signals' use of the User Contributions as permitted herein, will infringe, misappropriate, or violate a third party's intellectual property or proprietary rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not Day One Signals, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

Hiring Manager Terms

Hiring managers and other third parties ("Hiring Manager Users") may access the Platform to interact with deployed Day One Me instances and review Day One Plan artifacts. By accessing or using any portion of the Platform, Hiring Manager Users agree to the following terms:

Access and Use. Hiring Manager Users access the Platform via authenticated links (magic link authentication). Access is limited to the specific Day One Me or Day One Plan artifact to which they have been directed. Hiring Manager Users may not attempt to access other users' data, artifacts, or accounts.

AI Disclosure. Hiring Manager Users are informed that they are interacting with an AI-powered professional twin, not directly with the job seeker. The Day One Me generates responses based on the job seeker's demonstrated work in simulations. It is not a human, and its responses are not generated in real time by the job seeker.

Recording and Review. All interactions between Hiring Manager Users and a Day One Me are recorded and will be made available to the job seeker for review. Hiring Manager Users are informed of this before interacting. Messages from Hiring Manager Users may be processed through a toxicity protection layer before being presented to the job seeker. This layer filters hostile, demeaning, or malicious language while preserving the substantive content of the interaction.

No Employment Obligation. Interacting with a Day One Me does not constitute an interview, employment offer, commitment to hire, or any contractual or employment-related obligation. Hiring Manager Users are solely responsible for their own hiring decisions.

Prohibited Conduct. Hiring Manager Users agree not to: use interactions with a Day One Me to harass, discriminate against, or demean the job seeker; attempt to extract personal information not contained in the artifacts; reverse-engineer the Day One Me or its underlying AI models; use information obtained through the Platform for any purpose other than evaluating the job seeker's professional capability; or share, redistribute, or publicly disclose the job seeker's artifacts or interaction transcripts without the job seeker's consent.

Intellectual Property. The artifacts and content presented to Hiring Manager Users, including Day One Plans, simulation outputs, and Day One Me responses, are the property of the job seeker and Day One Signals as set forth in these Terms. Hiring Manager Users may not reproduce, distribute, or create derivative works from these materials without written permission.

AI Disclosure and Transparency

Day One Signals is committed to transparency about the role of artificial intelligence in the Platform. The following disclosures apply:

All work simulations are powered by AI models. Synthetic coworkers, stakeholders, and counterforce participants are AI-generated and do not represent real people.
Your Day One Me is an AI-powered system. It is not a human, and its responses are generated based on your demonstrated Simulation Content, not real-time human input.
Hiring managers interacting with your Day One Me are informed, prior to the interaction, that they are communicating with an AI system.
The toxicity protection layer that processes hiring manager messages before you review them is an AI-powered filter. It may alter the wording of incoming messages while preserving their substantive content.
AI-generated outputs on the Platform — including simulation responses, Day One Me conversations, sample persona interactions, and outreach materials — may contain errors, inaccuracies, or artifacts of model behavior. These outputs are provided for exploratory and demonstrative purposes and should not be relied upon as professional, legal, or business advice.
Day One Signals complies with applicable AI transparency requirements, including but not limited to the EU AI Act and relevant U.S. state AI disclosure laws, to the extent they apply to the Platform.

No Guarantees Regarding Employment

Day One Signals does not guarantee that use of the Platform will result in employment, interviews, or any particular outcome. The Platform is designed to help you explore professional capability and generate credible proof-of-work artifacts. Any decisions by hiring managers or employers based on interactions with your Day One Me or review of your artifacts are entirely outside Day One Signals' control.

Day One Signals does not make any representations, warranties, or guarantees about the suitability of any company, role, or opportunity presented through simulations. You are solely responsible for vetting and otherwise verifying all information presented on the Platform, as Day One Signals does not perform background checks or verification on the companies or roles featured in simulations.

Fees

Day One Signals reserves the right to modify its fee structure at any time and without advanced notice, and you agree to pay all fees owed to Day One Signals that may apply to your usage of the Platform. Your use of the Platform after Day One Signals notifies you of any fees, or any changes thereto, constitutes your agreement to pay these fees.

Changes to the Platform

Day One Signals may update the content on the Platform from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Platform may be out of date at any given time, and Day One Signals is under no obligation to update such material.
Day One Signals has the right to remove any content, including any User Contributions, from the Platform at any time, for any or no reason, in its sole discretion. Day One Signals will not be liable to you or any other party for removing any content from the Platform.
Day One Signals reserves the right to withdraw or amend the Platform, and any service or material Day One Signals provides on the Platform, in its sole discretion without notice. Day One Signals will not be liable if for any reason all or any part of the Platform is unavailable or inaccessible at any time or for any period.
However, Day One Signals does not undertake to review all material before it is posted on the Platform, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, Day One Signals assumes no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party.

Revoking Access

Day One Signals may terminate your account at any time and for any reason. If you wish to terminate your account, you may discontinue using the Platform and/or cancel your account. All provisions of the Terms shall survive termination by either party, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Termination Due to Harmful Behavior

In addition to the general right to terminate accounts, Day One Signals reserves the right to terminate or suspend your access to the Platform and any associated services without notice if we determine, in our sole discretion, that your behavior is harmful, disruptive, or in violation of these Terms. This includes, but is not limited to, the following behaviors:

Harassment: Any form of harassment, including verbal, physical, or online harassment of other users or staff.
Discrimination: Engaging in discriminatory behavior based on race, gender, sexual orientation, religion, national origin, age, or disability.
Abusive Conduct: Any abusive behavior, including threats, intimidation, or actions that could harm others.
Dishonesty or Misrepresentation: Providing false information, misrepresenting your qualifications, or engaging in deceitful behavior during simulations or deployment.
Violation of Privacy: Sharing private or confidential information about other users without their consent.
Platform Manipulation: Attempting to reverse-engineer, exploit, or manipulate simulation mechanics, AI models, escalation probabilities, or the energy system.

In the event that your account is terminated due to harmful or disruptive behavior, you will not be entitled to any refund of fees paid for services, including any unused portion of your subscription or energy balance.

If you believe your access has been wrongfully terminated, you may submit an appeal in writing to Day One Signals within 14 days of termination. Appeals will be reviewed on a case-by-case basis, and Day One Signals reserves the right to uphold or reverse the termination decision at its sole discretion.

If you experience or witness any harmful behavior on the Platform, please report it to Day One Signals immediately at max@dayonesignals.com. We take all reports seriously and will take appropriate action to ensure a safe and supportive environment for all users.

Intellectual Property Rights

Day One Signals hereby grants you a non-exclusive, non-transferable right and license to use the Platform for your personal, non-commercial use only, in accordance with these Terms. You are not permitted to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Platform outside of the Platform, except as it is created and owned by you.

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection, and arrangement thereof), are owned by Day One Signals, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. No right, title, or interest in or to the Platform or any content on the Platform is transferred to you, and all rights not expressly granted herein are reserved by Day One Signals.

Trademarks

The Day One Signals name and logo, and all related names, logos, product and service names, designs, and slogans, are the property of Day One Signals or its affiliates or licensors. "Day One Plan" is a trademark of Day One Signals, Inc. (U.S. Trademark Application Serial No. 99534521, pending). "Day One Me" is a trademark of Day One Signals, Inc. (U.S. Trademark Application Serial No. 99522046, pending). You must not use such marks without the prior written permission of Day One Signals. All other names, logos, product and service names, designs, and slogans on the Platform are the trademarks of their respective owners.

Usage Information and Feedback

Day One Signals shall have the right to collect and analyze data and other information relating to the provision, use, and performance of various aspects of the Platform and related systems and technologies, and Day One Signals shall own all such data and information and be free to (i) use such information and data to improve and enhance the Platform and for other development, diagnostic, and corrective purposes in connection with the Platform and other Day One Signals offerings, and (ii) disclose such data solely in aggregate or other de-identified form in connection with its business.

In the event that you provide Day One Signals any feedback related to the Platform ("Feedback"), you agree Day One Signals may use the Feedback to improve and/or promote the Platform, and that you will not be due any compensation for your Feedback that is used in these ways. To the extent that Day One Signals has your name, likeness, or voice, this will be part of the Feedback and you agree that Day One Signals may use your name, likeness, and voice in the same manner that Day One Signals can use other Feedback. You hereby assign all right, title, and interest in and to the Feedback and all related intellectual property rights to Day One Signals.

Prohibited Uses

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform:

To transmit inappropriate, offensive, threatening, or any other harmful communications to other users, hiring managers, or any other person.
In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
To impersonate or attempt to impersonate Day One Signals, a Day One Signals employee, another user, or any other person or entity.
In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which, as determined by Day One Signals, may harm or offend Day One Signals or users of the Platform or expose them to liability.
To reverse-engineer, decompile, or disassemble any aspect of the Platform, including its AI models, simulation mechanics, escalation probabilities, or deployment infrastructure.
To use the Platform to generate content that misrepresents your actual capabilities, experience, or qualifications.
To scrape, harvest, or collect information from the Platform through automated means, including bots, crawlers, or spiders.
To attempt to gain unauthorized access to any part of the Platform, other accounts, computer systems, or networks connected to the Platform.

Reliance on Information Posted

Day One Signals does not warrant the accuracy, completeness, or usefulness of any information on the Platform. Work simulations are fictional scenarios designed for exploration and are not representations of actual job openings, company strategies, or business conditions. Any reliance you place on such information is strictly at your own risk. Day One Signals disclaims all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Platform, or by anyone who may be informed of any of its contents.

Links from the Platform

If the Platform contains links to other sites and resources provided by third parties, these links are provided for your convenience only. Day One Signals has no control over the contents of those sites or resources, and accepts no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third party websites linked to the Platform, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

Users Outside the U.S.

The Platform is controlled and operated from the United States and is subject to its laws. If you choose to access the Platform outside of the United States, you do so at your own risk and are responsible for complying with all applicable laws, rules, and regulations.

Disclaimer of Warranties

YOUR USE OF THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM IS AT YOUR OWN RISK. THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER DAY ONE SIGNALS NOR ANY PERSON ASSOCIATED WITH DAY ONE SIGNALS MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE PLATFORM. WITHOUT LIMITING THE FOREGOING, NEITHER DAY ONE SIGNALS NOR ANYONE ASSOCIATED WITH DAY ONE SIGNALS REPRESENTS OR WARRANTS THAT THE PLATFORM, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE PLATFORM OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE PLATFORM OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

DAY ONE SIGNALS HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

DAY ONE SIGNALS DOES NOT WARRANT THAT AI-GENERATED CONTENT, INCLUDING DAY ONE ME RESPONSES, SIMULATION OUTPUTS, SYNTHETIC COWORKER CONTRIBUTIONS, AND COUNTERFORCE DYNAMICS, WILL BE ACCURATE, APPROPRIATE, OR FREE OF ERRORS. AI-GENERATED CONTENT IS PROVIDED FOR EXPLORATORY AND DEMONSTRATIVE PURPOSES AND SHOULD NOT BE RELIED UPON AS PROFESSIONAL, LEGAL, OR BUSINESS ADVICE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Limitation of Liability

IN NO EVENT WILL DAY ONE SIGNALS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE PLATFORM OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THIS INCLUDES, WITHOUT LIMITATION, ANY DAMAGES ARISING FROM: (I) DECISIONS MADE BY HIRING MANAGERS OR EMPLOYERS BASED ON INTERACTIONS WITH YOUR DAY ONE ME OR REVIEW OF YOUR ARTIFACTS; (II) INACCURACIES IN AI-GENERATED CONTENT; (III) THE FAILURE OF YOUR DAY ONE ME TO ACCURATELY REPRESENT YOUR CAPABILITIES; OR (IV) ANY EMPLOYMENT OR NON-EMPLOYMENT OUTCOME.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless Day One Signals, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User Contributions, your Simulation Content, any use of the Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.

Changes to the Terms of Use

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Platform thereafter. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

Governing Law

All matters relating to the Platform and these Terms and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provisions or rules.

Arbitration

Any disputes arising from the use of these Terms or the Platform, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, must be submitted to final and binding arbitration in San Francisco County under the Rules of Arbitration of the American Arbitration Association applying California law.

Waiver

No waiver by Day One Signals of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Day One Signals to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Entire Agreement

These Terms and Day One Signals' Privacy Policy constitute the sole and entire agreement between you and Day One Signals with respect to the Platform, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Platform.
